Proposed CSA By-Law Change
Proposed Change to Bylaw 2.2 Annual General Meeting. Bylaw 2.2 Annual General Meeting is the section of CSA’s Bylaws that govern the Annual General Meeting.
Proposed By: Bill Hughes, President Cleburne Soccer Association
Reason: To ensure that CSA will be able to conduct business to include the Annual General Meeting (AGM), in accordance with its Bylaws. Attendance at meetings to include the AGM has declined to such a point that in the future, under the current Bylaws, CSA will not be able to have a quorum at the AGM. This is not a problem with just CSA, it is common in association across NTSA. Frisco Soccer Associations Bylaws where used a template for this change.

2.2 Annual General Meeting
2.2.1 An Annual General Meeting of the Association shall be held each year on a day during the months of May or June, to be selected by the President, at which they shall elect board members in accordance with the Association Bylaws and transact such other business as may properly be brought before the meeting. Cleburne Soccer Association Bylaws 6 Rev. June 2016.
2.2.2 Written, printed, or electronic notice stating the place, day, time of the Annual General Meeting shall be made not less than ten (10) nor more than fifty (50) days before the meeting to each designated member of record.
2.2.3 Any six (6) voting members in good standing along with a quorum of the board of directors shall constitute a quorum at an annual meeting.

2.2.3 Quorum. Fifty percent (50%) of the Broad of Directors present in person (not counting vacancies), or by remote communications technology will constitute a quorum.
